In the podcast, Garcia warned against DIY online legal contracts that have become common in recent years.
“The problem is that a lot of these form contracts are just that: they’re a predesigned form for a business, but they’re generic. They’re not akin to whatever specific terms are in your agreement or business situation. Make no mistake - every agreement is completely different from the next,” he said.
In Garcia’s view contracts found online are not comprehensive enough to cover the scope of a unique business agreement.
“You have to consider a lot of factors such as what happens if things aren’t completed or if they aren’t done on time. And what happens if someone doesn’t follow through with their end of the bargain, what are you going to do? And what penalties are there?” he added.
Garcia further alluded to the fact that what makes these online forms appealing is that they are cheaper than hiring an attorney.
When asked whether this actually was true, he cited a case in which a client had created an agreement after downloading a contract from a website. The contract had clauses specific to California, however the client was in Florida.
“When the other party didn’t follow through with their end of the deal, my client had to spend a considerable sum of money to protect his rights. So, it ended up costing him more in the end than if he’d of have just done things right with an attorney in the beginning.”
According to Garcia, using an online template for a legal contract can also mean you may be in a weak position if you are wronged and want to sue.
“One example of this is that people have this misconception that they can get attorney’s fees if they win after suing someone that has breached the terms of a contract. I remind them that in the US each person has to pay their attorney’s fees unless there is a clause in their agreement that protects against this. If you don’t know that, you may find it financially unviable to get justice.”
